Tarasaka Digital Solutions will provide the Services described in the applicable proposal, quotation, SOW, invoice, or service agreement.
Services not expressly included in the agreed scope may be considered additional work and may incur additional charges.

Tarasaka Digital Solutions will generally communicate material additional costs before undertaking out-of-scope work.
The Client agrees to provide accurate, complete, and timely information, materials, access credentials, approvals, and cooperation reasonably required to deliver the Services.
The Client is responsible for ensuring that all information and materials supplied to Tarasaka Digital Solutions are accurate and that the Client has the necessary rights, licences, and permissions to use them.
The Client must not knowingly provide Tarasaka Digital Solutions with materials that:
Tarasaka Digital Solutions may rely on information supplied by the Client and is not responsible for losses resulting from inaccurate, incomplete, or misleading Client-provided information.
The Client agrees to review designs, content, development work, reports, and other Deliverables within the timeframe reasonably specified by Tarasaka Digital Solutions.
Delays in providing feedback, content, approvals, credentials, or other required information may result in corresponding delays to the Project.
If a Project remains inactive because of Client delays for an extended period, Tarasaka Digital Solutions may:
Specific approval deadlines stated in a proposal or SOW will take precedence.
The number of revisions included in a Project will be specified in the applicable proposal or SOW.
A revision generally means a reasonable modification to an existing Deliverable within the agreed scope.
The following may be treated as a change request rather than a revision:
Additional work may require a revised quotation or additional fee.
Tarasaka Digital Solutions will make reasonable efforts to meet agreed Project timelines. However, timelines may be affected by:
Unless expressly guaranteed in writing, Project timelines are estimates and are not absolute guarantees.
Fees and payment schedules will be specified in the applicable proposal, quotation, invoice, SOW, or service agreement.
Unless otherwise agreed in writing, the Client is responsible for applicable taxes, including GST where applicable.
Tarasaka Digital Solutions may require an advance payment before commencing work.
The Client agrees to make payments according to the agreed payment schedule.
If an invoice becomes overdue, Tarasaka Digital Solutions may, after reasonable notice:
Tarasaka Digital Solutions is not responsible for Project delays resulting from unpaid invoices. Suspension of Services does not cancel amounts already due.
Refund and cancellation terms will primarily be governed by the applicable proposal, quotation, invoice, or service agreement.
Unless otherwise expressly agreed in writing, fees for Services already performed are generally non-refundable.
Third-party costs, purchased licences, domain registrations, hosting charges, subscriptions, advertising spend, and other non-recoverable expenses may also be non-refundable.
If a Client cancels a Project after work has commenced, the Client may remain responsible for:
Tarasaka Digital Solutions Projects may depend on Third-Party Services, including hosting providers, domain registrars, WordPress plugins, themes, APIs, payment gateways, analytics platforms, advertising platforms, AI platforms, email services, and SaaS platforms.
Third-Party Services may change their pricing, functionality, APIs, terms, availability, or technical requirements. Tarasaka Digital Solutions cannot guarantee the continued availability, compatibility, pricing, or performance of Third-Party Services.
Unless expressly included in the Project agreement, third-party subscription, hosting, domain, licence, API, and software costs are the Client's responsibility.
Website maintenance, updates, backups, monitoring, security hardening, malware removal, and ongoing support are included only where expressly stated in the applicable service agreement.
Where ongoing maintenance is not included, Tarasaka Digital Solutions does not guarantee that a website will remain completely free from hacking, malware, security vulnerabilities, plugin conflicts, server failures, cyberattacks, data loss, or software compatibility problems.
Where Tarasaka Digital Solutions provides maintenance or security services, such Services are intended to reduce risk but do not guarantee that security incidents will never occur.
The Client remains responsible for protecting passwords, credentials, hosting accounts, email accounts, and other access under the Client's control.
Tarasaka Digital Solutions uses reasonable professional practices to improve search visibility, website performance, online presence, and marketing outcomes.
However, SEO, Local SEO, AEO, AIO, GEO, Google Search, Google Maps, AI search platforms, advertising platforms, competitors, market conditions, and other external factors can affect results.
Accordingly, Tarasaka Digital Solutions does not guarantee a specific Google ranking, Google Maps position, AI Overview placement, inclusion in ChatGPT/Gemini/Perplexity, number of leads, amount of website traffic, conversion rate, advertising return on investment, or specific revenue outcome.
Any projections, estimates, forecasts, or performance targets provided by Tarasaka Digital Solutions are estimates unless expressly guaranteed in a written agreement.
Tarasaka Digital Solutions may use artificial intelligence, automation, analytics platforms, software-assisted research, and other technology tools when delivering certain Services, including for research, content development, ideation, data analysis, SEO analysis, marketing workflows, automation, design assistance, and software development assistance.
Tarasaka Digital Solutions will apply reasonable professional judgment when reviewing AI-assisted outputs. However, AI systems may produce inaccurate, incomplete, outdated, or unsuitable information.
The Client remains responsible for reviewing and approving business-specific claims, legal claims, regulated information, product information, and other factual information supplied or approved by the Client.
The Client retains ownership of Client Content supplied to Tarasaka Digital Solutions. The Client grants Tarasaka Digital Solutions a limited licence to use such materials solely as reasonably necessary to provide the Services. The Client represents that it has the necessary rights and permissions to provide such materials.
Tarasaka Digital Solutions retains ownership of its pre-existing intellectual property, proprietary processes, methodologies, systems, frameworks, templates, internal tools, code libraries, strategies, know-how, and other materials developed independently of the Client's Project. Payment for Services does not transfer ownership of Tarasaka Digital Solutions' underlying proprietary methods, systems, tools, or frameworks.
Subject to full payment of all amounts due, ownership or applicable usage rights in final Deliverables specifically created for the Client will transfer to the Client to the extent stated in the applicable proposal or agreement. Third-party software, plugins, themes, stock assets, fonts, APIs, libraries, and other licensed materials remain subject to their respective licence terms.
Unless otherwise agreed in writing, Tarasaka Digital Solutions may identify the Client and display completed Deliverables as part of its portfolio, case studies, presentations, website, social media, or marketing materials. A Client that requires confidentiality or does not wish to permit portfolio use should communicate this requirement in writing.
The Client is responsible for obtaining appropriate licences and permissions for materials supplied by the Client. Tarasaka Digital Solutions will not knowingly use third-party copyrighted or licensed materials without appropriate permission or licensing where Tarasaka Digital Solutions is responsible for obtaining such rights. Third-party licences may impose separate restrictions that continue after Project completion.
Both parties agree to protect confidential information received from the other party and to use such information only for legitimate purposes connected with the business relationship.
Confidential information does not include information that is publicly available without breach of these Terms, was already lawfully known, is independently developed, is lawfully obtained from another source, or must be disclosed under applicable law or lawful government/regulatory requirements.
Tarasaka Digital Solutions may collect and process personal information when users interact with our website or Services. The collection, use, storage, and processing of personal data is governed by our Privacy Policy, which should be read together with these Terms.
Where applicable, Tarasaka Digital Solutions will handle personal data in accordance with applicable Indian data-protection requirements, including the Digital Personal Data Protection framework as applicable to the relevant processing activities.
The Client is responsible for ensuring that personal data supplied to Tarasaka Digital Solutions may lawfully be shared and processed for the agreed purpose.
Tarasaka Digital Solutions makes reasonable efforts to keep information on its website accurate and current. However, website content may contain errors, omissions, or information that becomes outdated.
Content published on the Tarasaka Digital Solutions website is provided for general informational purposes and does not constitute legal, financial, tax, medical, or other regulated professional advice.
Except where expressly stated in a written agreement, Services are provided on an "as available" and "as reasonably provided" basis. Tarasaka Digital Solutions does not warrant that the website will always be available, error-free, that third-party platforms will remain available, that integrations will remain compatible indefinitely, that search-engine rankings will remain unchanged, or that digital campaigns will achieve a particular commercial outcome.
To the maximum extent permitted by applicable law, Tarasaka Digital Solutions will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from the use of the website or Services, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
Unless otherwise agreed in writing, Tarasaka Digital Solutions' aggregate liability arising from a specific Project will not exceed the professional fees actually paid to Tarasaka Digital Solutions for that Project during the applicable period.
To the extent permitted by applicable law, the Client agrees to indemnify and hold Tarasaka Digital Solutions harmless against third-party claims, losses, liabilities, damages, and reasonable expenses arising from Client Content, unauthorised use of third-party materials supplied by the Client, Client's unlawful use of the Services, Client's breach of these Terms, or Client's violation of intellectual-property rights or applicable laws.
Either party may terminate a Project or service arrangement in accordance with the applicable service agreement. Where no specific termination provision exists, either party may request termination by providing reasonable written notice.
Tarasaka Digital Solutions may suspend or terminate Services where the Client materially breaches these Terms, fails to pay amounts due, provides unlawful materials, uses Services for unlawful purposes, or repeatedly fails to provide required information or approvals.
Upon termination, the Client remains responsible for amounts due for Services already performed. Work may be delivered only to the extent payment obligations have been satisfied. Provisions intended by their nature to survive termination (confidentiality, IP, liability, governing law) will continue to apply.
Tarasaka Digital Solutions will not be responsible for delays or failures caused by circumstances reasonably outside its control, including natural disasters, war, civil unrest, government action, major internet/infrastructure failures, cyber incidents, major platform outages, or telecommunications failures.
These Terms are governed by the laws of India. Subject to mandatory rights under applicable law, disputes arising from these Terms or Services will be subject to the jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
If a dispute arises, both parties should first attempt to resolve the matter through good-faith communication or mutually agreed mediation before commencing formal legal proceedings.
The Client agrees that communications made through email, electronic messaging, project-management platforms, or online forms may be used for project communications, approvals, notices, and records where legally permissible.
Tarasaka Digital Solutions may update these Terms from time to time to reflect changes in our Services, technology, business practices, or legal requirements. Continued use of the website or Services after updated Terms are published constitutes acceptance.
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be modified to the minimum extent necessary, and remaining provisions will remain in full force. Failure by Tarasaka Digital Solutions to enforce any provision does not constitute a waiver.
These Terms, together with any applicable proposal, quotation, SOW, invoice, or service agreement, constitute the entire agreement governing the relevant Services.
